Terms Of Service

These terms apply to every quotation, sample and bulk order between Benjima (“we”, “us”) and the customer (“you”). Placing an order means you accept them. If your own purchase terms differ, the difference has to be agreed in writing before production starts.

Quotations and pricing

  • Quotations are valid for [30] days from the date issued.
  • Prices are quoted per piece in [USD] and exclude freight, duties and local taxes unless the quotation says otherwise.
  • A quotation is based on the specification you supply. If fabric, decoration, trims, quantity or packing change, the price is requoted.
  • Sharp movements in yarn, fabric or freight cost may require a requote before production begins. We will always tell you before proceeding, never after.

Minimum order quantity

The minimum is 50 pieces per style, and 100 for gloves and headwear. Sizes and colourways can be mixed inside a style unless the quotation states otherwise.

Orders and acceptance

An order is confirmed when you accept the quotation in writing and the advance payment reaches our account. Production is scheduled from the date the advance clears, not from the date of the purchase order.

Samples

  • Sample charges are invoiced separately and are non refundable.
  • Sample cost may be credited against the bulk invoice where the quotation says so.
  • Bulk production starts only after you approve the pre production sample in writing.
  • Changes requested after sample approval may affect both the price and the delivery date.

Artwork and intellectual property

You confirm that you own or are licensed to use every logo, name, design and image you send us, and that producing them does not infringe anyone’s rights. You agree to indemnify us against claims arising from artwork you supply.

Your artwork stays yours. Patterns, markers and production files we create remain ours unless we agree otherwise in writing. How we handle your files is described in our Privacy Policy.

Production tolerances

Bulk apparel manufacturing carries accepted tolerances. These are industry standard and are not defects:

  • Garment measurements within plus or minus [2] cm of the approved sample
  • Delivered quantity within [3] percent above or below the ordered quantity, invoiced at the delivered figure
  • Slight shade variation between dye lots, and between the strike off and the bulk print
  • Fabric weight within the mill’s standard tolerance for that quality

Payment terms

  • [50] percent advance to confirm the order, [50] percent before dispatch, unless agreed otherwise in writing.
  • Payment by bank transfer or an agreed payment service. Bank charges are paid by the sender.
  • Goods remain our property until payment is received in full.
  • Overdue balances may attract interest at [2] percent per month and may pause work on your other open orders.

Lead times and delays

Lead times quoted are working days from sample approval and cleared advance payment. They are estimates made in good faith. We are not liable for delays caused by late approvals, late payment, changes you request, fabric mill delays, customs, courier or shipping line delays, strikes, power failure, natural events, or any other cause beyond our reasonable control.

Shipping, title and risk

Shipping terms are stated on the quotation. Unless agreed otherwise, risk passes to you when the goods are handed to the carrier. Import duties, taxes and customs clearance charges in the destination country are yours unless the order is quoted DDP. Full detail is in our Shipping Policy.

Inspection and claims

Inspect the goods on arrival. Any claim for shortage, damage or quality must reach us in writing within [7] days of delivery, with photographs and the affected quantity. Claims raised after that period, or after the goods have been washed, decorated further, altered or sold on, cannot be processed.

Remedies

Where a claim is accepted, we will at our discretion repair, replace or credit the affected pieces. Because every order is manufactured to your specification, we do not accept returns for a change of mind, for ordering the wrong sizes against the approved size chart, or for a change in your market conditions.

Cancellation

An order may be cancelled in writing before fabric is cut. Costs already incurred, including fabric, trims, sampling and decoration setup, remain payable. Once bulk cutting has started the order cannot be cancelled.

Confidentiality

Each party will keep the other’s commercial information confidential. We are happy to sign your NDA before you share a tech pack.

Compliance and ethical practice

We operate without child labour or forced labour, and buyers are welcome to visit the floor or arrange a third party audit. We can supply fabric test reports on request where the mill provides them. We will not issue a certification we do not hold.

Limitation of liability

Our total liability for any order is limited to the invoice value of that order. We are not liable for indirect or consequential losses, including lost profit, lost sales, a missed event or season, or reputational damage.

Governing law

These terms are governed by the laws of [Pakistan], and the courts of [Sialkot, Punjab] have exclusive jurisdiction, unless a different forum is agreed in writing.

Changes to these terms

We may update these terms. The version in force is the one published on this page on the date your order was confirmed. The date at the top shows when this page last changed.
